TERMS OF SERVICE AND DELIVERY

These terms and conditions apply Digital network (hereinafter referred to as the ”Supplier”) for the services provided by Digiverkosto Oy. The contracting party and invoicer is Digiverkosto Oy. (Business ID: 3601658-1).

1. Formation of the contract

The contract is concluded when the customer accepts the offer provided by the Supplier in writing, electronically or by making the first payment related to the order.

2. Content and implementation of the service

The supplier will implement the services (e.g. websites, digital marketing, CRM integrations) professionally based on the agreed scope. The customer undertakes to provide the materials and access rights necessary for the work without delay.

2.1 Project progress and resourcing 

The Supplier and the Customer undertake to move the project forward within the agreed schedule. If the progress of the project is prevented or significantly slowed down due to the Customer's delay (e.g. lack of materials or approvals), the Supplier has the right to move the project to a waiting state and release the resources allocated to it for other assignments.

The Supplier may consider the project to have slowed down significantly if the Customer has not delivered the necessary materials or responded to the Supplier's contact requests within seven (7) days, or if the progress of the project has otherwise been delayed for more than fourteen (14) days for reasons beyond the Supplier's control.

Once a project is placed on hold, the original delivery schedule expires. Reactivating the project requires a new schedule negotiation, and the Supplier will complete the work within its current work queue and resource situation. The Supplier is not responsible for any project delay caused by the Customer’s delay or requeuing of the project.

If the completion of the project is delayed for a reason attributable to the Supplier by at least thirty (30) calendar days from the original schedule, the Supplier has the right to invoice the final payment installment for the project despite the delay.

3. Payment terms and invoicing

The invoicing model is always agreed on a case-by-case basis. The models in use are:

  • Project invoicing: For example, 50 % at the start of the project and 50 % upon completion/handover of the work.
  • Monthly or annual billing: Ongoing services are billed according to the contract period.
  • Installment payment: Larger entities can be divided into several batches.

The supplier has the right to change the pricing of ongoing services. By changing prices, we ensure the high quality and development of the service. The customer will be notified of the changes in writing at least one (1) month before the new price list comes into effect.

4. Third parties and service interruptions

In digital marketing, the customer is responsible for the advertising budget (e.g. Meta and Google advertising costs). The supplier is not responsible for price changes, technical failures or service interruptions of third-party platforms (e.g. server hotels, advertising platforms or software). Toimittaja ei ole korvausvelvollinen sivuston tai palvelun alhaalla olosta johtuviin suoriin tai välillisiin kuluihin, menetyksiin tai haittoihin.

5. Duration and termination of the contract

5.1 For ongoing services, a one (1) month notice period applies, unless otherwise agreed. Termination must be made in writing. If the customer does not accept the price change, he or she has the right to terminate the contract before the new price comes into effect.

5.2 Termination of website maintenance and transfer of service The customer has the right to terminate the maintenance agreement at least three (3) months before the start of the billing period of the next contract period, in which case the termination of maintenance is free of charge.

If the Customer wishes to transfer the files and databases of their online service out of the Supplier's control (e.g. to another service provider) upon termination, the Supplier will charge a transfer fee of €300.00 (excluding VAT) for the resulting technical work (including packaging of files, exporting databases, technical assistance in the transfer and closing the server environment).

The Supplier will only release the material once the transfer fee and all previous open invoices have been paid. The Supplier is not responsible for the success of the transfer or the functionality of the website in the third-party server environment after the transfer.

6. Intellectual property rights

Ownership of the final result of the commissioned work is transferred to the customer when all payments related to the work in question have been made, unless otherwise agreed. The supplier has the right to use the completed work as a reference.

7. Limitation of liability and correction of defects

The supplier strives for the best possible outcome, but is not liable for any indirect damages that may arise from the use of the service.

If a service provided by a third party (e.g. website maintenance service) crashes or is interrupted, the Supplier undertakes to initiate corrective measures and fault investigation immediately after the information has been received by the Supplier without interruption. These measures will be carried out free of charge to the customer. However, the supplier's total liability for compensation is limited in all situations to a maximum of the price excluding VAT of the project or service item in question.

8. Tietoturva ja väärinkäyttö

Asiakas vastaa omien sähköpostitunnustensa salasanaturvallisuudesta. Jos asiakkaan tili joutuu kaapatuksi ja sitä käytetään roskapostin lähettämiseen (mikä voi johtaa Toimittajan palvelimen IP-osoitteen päätymiseen mustille listoille), Toimittajalla on oltava oikeus sulkea tili välittömästi ilman ennakkoilmoitusta vahinkojen rajaamiseksi.

9. Verkkokaupat ja maksupalvelut

Verkkokauppojen rakentamiseen liittyy lakisääteisiä vaatimuksia ja maksujenvälitystä, joista toimittaja ei suoraan voi ottaa vastuuta:

    Maksupalvelut ja integraatiot: Toimittaja vastaa teknisestä toteutuksesta (esim. WooCommerce, Shopify tai muu alusta ja maksupainikkeiden integrointi), mutta ei vastaa kolmansien osapuolet maksunvälittäjien (kuten Paytrail, Checkout, Stripe, Klarna) toiminnasta, sopimuksista, rahansiirroista tai mahdollisista maksuliikennekatkoista. Lakisääteisyys: Asiakas vastaa itse verkkokauppansa sisällöstä, tuotetiedoista, hinnoista, toimitusehdoista sekä kuluttajansuojalain mukaisten tietojen (kuten peruuttamisoikeuden) oikeellisuudesta.

    10. Palvelinympäristö, ylläpito ja varmuuskopiot

    Toimittaja tarjoaa verkkosivujen ja sähköpostitilien ylläpitoa omassa palvelinympäristössään parhaan arvionsa mukaan. Toimittaja pyrkii pitämään palvelut jatkuvasti saatavilla, mutta ei vastaa tilapäisistä huoltotöistä, tietoliikennehäiriöistä tai ylivoimaisesta esteestä (force majeure) johtuvista palvelukatkoista tai tietojen viivästymisestä. Toimittaja tuottaa ylläpidettävistä sivustoista säännöllisiä varmuuskopioita, mutta Asiakkaan tulee tarvittaessa säilyttää myös itse kriittinen aineistonsa. Toimittaja ei vastaa tietojen katoamisesta aiheutuneista vahingoista poikkeuksellisen laitteistovian tai ylivoimaisen esteen sattuessa.

    11. Asiakkaan vastuu sisällöstä ja oikeudelliset seikat

    Asiakas vastaa kaikilta osin toimittamansa ja verkkopalvelussa julkaisemansa sisällön oikeellisuudesta ja lainmukaisuudesta. Toimittaja ei tarjoa lakipalveluita tai virallista oikeudellista neuvontaa. Vaikka Toimittaja saattaa projektin tai palvelun puitteissa konsultoida asiantuntijoita tai antaa yleisluontoisia suosituksia, asiakas vastaa viime kädessä itse omien sisältöjensä tai asiakirjojensa (kuten tietosuojakäytäntöjen), ehtojensa ja sivustonsa lainmukaisuudesta ja niistä mahdollisesti puuttuvista lausekkeista. Toimittaja ei ota vastuuta asiakkaan sisällön, toiminnan tai asiakirjojen oikeudellisista puutteista tai niistä johtuvista seuraamuksista.

    12. Tietosuoja, evästeet ja henkilötietojen käsittely
